Proposed Changes to the Oregon Lions Sight and Hearing Foundation Bylaws & Articles of Foundation have been mailed to all clubs. Voting to accept the proposed changes will take place Saturday May 17th in Ashland and the MD-36 Convention in Ashland May 17th-, 2008.

The proposed changes reflect an important change to the current structure of the Foundation. At the March Board of Trustees meeting, the Board of Trustees voted to approve the Eye Bank becoming a Subsidiary Corporation, wholly owned by the Oregon Lions Sight and Hearing Foundation. The vote was a result of committee work over the last two years seeking to protect the Foundation assets from any lawsuits regarding malpractice and provide more autonomy for the Eye Bank Board.

The proposed changes in the Bylaws and Articles remove the Eye Bank from the documents. The Eye Bank will now have its own set of Bylaws and Articles of Incorporation approved by the Foundation Board of Trustees.

Our hope is to have a short session Saturday morning at the convention before voting to answer questions. We have also including an article for Eye Bank Chair Carol Tate on the proposed changes and a document provided by Barbara Crow, Executive Director of the Eye Bank explaining the need for the change.
